TERMS AND CONDITIONS APPLICABLE TO PURCHASE OF
TRAINING COURSES FOR GENERAL PURPOSE COMMERCIAL
INFORMATION TECHNOLOGY EQUIPMENT AND SOFTWARE
(SPECIAL ITEM NUMBER 132-50)

1.  Scope

a.   Software Engineering Associates, Inc. shall provide training courses normally available to commercial customers, which will permit Government users to make full, efficient use of general purpose commercial IT products.  Training is restricted to training courses for those products within the scope of this solicitation.

b.   Software Engineering Associates, Inc. shall provide training at Software Engineering Associates, Inc.’s facility and/or at the Government's location, as agreed to by Software Engineering Associates, Inc. and the Government.

2.  Order

Written orders, EDI orders (GSA Advantage! and FACNET), credit card orders, and orders placed under blanket purchase agreements (BPAs) shall be the basis for the purchase of training courses in accordance with the terms of this contract.  Orders shall include the student's name, course title, course date and time, and contracted dollar amount of the course.

3Time Of Delivery

Software Engineering Associates, Inc. shall conduct training on the date (time, day, month, and year) agreed to by Software Engineering Associates, Inc. and the Government.

4.  Cancellation And Rescheduling

a.   The Government will notify Software Engineering Associates, Inc. at least seventy-two (72) hours before the scheduled training date, if a student will be unable to attend.  Software Engineering Associates, Inc. will then permit the Government to either cancel the order or reschedule the training at no additional charge.  In the event the training class is rescheduled, the Government will modify its original training order to specify the time and date of the rescheduled training class.

b.   In the event the Government fails to cancel or reschedule a training course within the time frame specified in paragraph a, above, the Government will be liable for the contracted dollar amount of the training course.  Software Engineering Associates, Inc. agrees to permit the Government to reschedule a student who fails to attend a training class within ninety (90) days from the original course date, at no additional charge.

c.   The Government reserves the right to substitute one student for another up to the first day of class.

d.   In the event Software Engineering Associates, Inc. is unable to conduct training on the date agreed to by Software Engineering Associates, Inc. and the Government, Software Engineering Associates, Inc. must notify the Government at least seventy-two (72) hours before the scheduled training date.

5.  Follow-Up Support

Software Engineering Associates, Inc. agrees to provide each student with unlimited telephone support for a period of one (1) year from the completion of the training course. During this period, the student may contact Software Engineering Associates, Inc.’s instructors for refresher assistance and answers to related course curriculum questions.

6.   Price For Training

Software Engineering Associates, Inc. will prepare specialized, on-site training covering the use of all SEA software, the JOVIAL language and the programming of the Mil-Std-1750A embedded processor.  Training classes usually run 5-10 days at the customer’s facility and include materials for each class member as well as a certificate of completion for classes in the use of the JOVIAL language and programming the Mil-Std-1750A processor.

Classes are tailored to specific customers needs and typically require one instructor for each 25 students.  The cost for training is negotiated depending on the class content, travel distance and class time and typically include airfare, per-diem and the hourly rate for each instructor per the rates identified below.  Note that the rates reflect personnel from two different geographical regions (California and Ohio).  All personnel assigned to any training tasks will be provided from one of these two cost centers even if the work is performed at some other geographical location.

6.1        Labor Definitions:

Commercial Job Title: Principal Executive Engineer (PEE)

Minimum/General Experience:  At least twenty (20) years of applicable experience and has been elected to their position in the company by the Board of Directors. A specialist in many fields of system software and company operations, the Principal Executive Engineer is responsible for the day-to-day operations of the company including personnel management, financial operations, technical operations and corporate development. 

Functional Responsibility: The Principal Executive Engineer coordinates all corporate functions and materially participates in the development of new software products and services. The Principal Executive Engineer is directly responsible to the corporate Board of Directors for continued success of the company. 

Minimum Education: Bachelor's Degree in Computer Science

Commercial Job Title: Principal Engineer (PE)

Minimum/General Experience:   At least ten (10) years of ap­plicable experience or an advanced degree in Computer Science and five (5) or more years of experience with outstanding contribution to the software field.  A specialist in at least one field of system software, the Principal Engineer is responsible for main­taining company pace with industry state-of-the-art technology and develops
solutions for high risk complex problems.

Functional Responsibility:  The PE develops ideas and performs independent research and development while defining and developing software tools and tech­niques to enhance production and product reliability.  The PE par­ticipates in company management decision-making and advises on company policy and direction.

Minimum Education: Bachelor's Degree in Computer Science.
    

Commercial Job Title: Senior System Analyst (SSA)

   
Minimum/General Experience
:   At least 5 years experience in complex software system design, development, and management. The SSA performs system analysis and prepares requirement specifications and management summaries.

Functional Responsibility:  The Senior System Analyst is responsible for the consultation and direction of projects within and outside the company as well as for the technical direction of projects, auditing of efforts within the projects, and for promoting new business opportunities and prospects.

Minimum Education: Bachelor's Degree in Computer Science
   

Commercial Job Title: Senior Software Engineer (SSE)

Minimum/General Experience:   At least two (2) years experience in the coding and documenting of complex software systems.

Functional Responsibility:  The Senior Software Engineer is responsible for the component design and implementation of software projects.  The SSE provides development estimates and is given responsibility for interface design and assisting in overall system design. The SSE works with limited supervision following established guidelines, processes, and techniques

Minimum Education: Bachelor's Degree in Computer Science (or equivalent experience) with a major in Computer Science or computer-related fields.
   

Commercial Job Title: Software Engineer (SE)

Minimum/General Experience:   Collegiate experience in the coding and documenting of complex software systems.  The SE may per­form internal design of specific code segments but rarely develops complex algorithms or system implementations.

Functional Responsibility:  The Software Engineer is responsible for the daily coding, check-out, and documentation that accompanies any software development and maintenance effort.  

Minimum Education: Bachelors Degree (or equivalent experience) with a major in com­puter science or computer-related fields.
   

Commercial Job Title: Documentation Specialist/Assistant (DSE)

Minimum/General Experience:   At least one (1) year of practical experience in the design and development of software documentation including specification preparation, proposal preparation, user documentation and maintenance manuals.  The DSE must have a working knowledge of military standards and accepted software documentation preparation.

Functional Responsibility:  The Documentation Specialist/Assistant is responsible for the preparation and modification of all company internal documentation as well as project requirements and user documents.   The DSE may also be called upon to assist in the preparation and tracking of classified documentation and classification documentation. 

Minimum Education: High School graduate (or equivalent) with additional development courses in document preparation and maintenance.

7.   Invoices And Payment

Invoices for training shall be submitted by Software Engineering Associates, Inc. after Government completion of the training course.  Charges for training must be paid in arrears (31 U.S.C. 3324).  PROMPT PAYMENT DISCOUNT, IF APPLICABLE, SHALL BE SHOWN ON THE INVOICE.

8.  Format And Content Of Training

a.   Software Engineering Associates, Inc. shall provide written materials (i.e., manuals, handbooks, texts, etc.) normally provided with course offerings.  Such documentation will become the property of the student upon completion of the training class.

b.   For hands-on training courses, there must be a one-to-one assignment of IT equipment to students.

c.   Software Engineering Associates, Inc. shall provide each student with a Certificate of Training at the completion of each training course.

d.   Software Engineering Associates, Inc. shall provide the following information for each training course offered:

(1)     The course title and a brief description of the course content, to include the course format (e.g., lecture, discussion, hands-on training);  

(2)     The length of the course;

(3)     Mandatory and desirable prerequisites for student enrollment;

(4)     The minimum and maximum number of students per class;

(5)     The locations where the course is offered;

(6)     Class schedules; and

(7)     Price (per student, per class (if applicable)).

e.   For those courses conducted at the Government’s location, instructor travel charges (if applicable), including mileage and daily living expenses, must be indicated below.  Rates paid as a result of travel must comply with the Federal Travel Regulation or Joint Travel Regulations, as applicable, in effect on the date(s) the travel is performed. Contractors cannot use GSA city pair contracts.

Instructor charges to include air fare, per diem as per Joint Travel Regulations and incidental expenses such as but not limited to car rental, parking fees, etc. for the duration of the instructional period.

9.  “No Charge” Training

Software Engineering Associates, Inc. shall describe any training provided with equipment and/or software provided under this contract, free of charge, in the space provided below.
